Terms of Service

These Terms of Service ("Terms") govern access to and use of Leadalise (the "Service"), a B2B account intelligence platform operated by Yertay Kemelbekov, an individual trading as "Leadalise" ("Leadalise," "we," "us," or "our"), based in Almaty, Republic of Kazakhstan. By creating an account or using the Service, you ("Customer," "you") agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Leadalise monitors publicly available and licensed third-party business data to identify buying signals about target companies, scores accounts based on that data, generates AI-assisted reports summarizing likely buying intent. The Service is intended for legitimate B2B sales, marketing, and business development use.

2. Eligibility and Accounts

  • You must be at least 18 years old and able to form a binding contract to use the Service.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
  • You must provide accurate registration information and keep it up to date.
  • We may suspend or terminate accounts that provide false information or are used in violation of these Terms.

3. Subscriptions, Billing, and Paddle

  • The Service is offered on a subscription basis, with plans and pricing described at checkout.
  • Paddle.com Market Limited acts as our Merchant of Record. Paddle handles billing, invoicing, sales tax/VAT calculation and remittance, and processes your payment on our behalf. Your purchase is subject to Paddle's Buyer Terms, in addition to these Terms.
  • Subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date. Cancelling stops future renewals; it does not entitle you to a refund of the current billing period except as described in our Refund Policy.
  • Your plan may be extended with paid add-ons, such as extra team seats. Add-ons are attached to your existing subscription: adding one mid-cycle is charged pro-rata for the remainder of the current period, and removing one stops the charge from your next renewal. Because the associated capacity is allocated to you for the period you have already paid for, removing an add-on is not refunded and does not create account credit for the remainder of that period, except as required by law.
  • Some plans include a credit-based allowance for AI-generated reports or other metered features. Unused credits do not roll over unless stated otherwise on your plan.
  • We may change pricing prospectively, with notice before your next renewal.

4. Acceptable Use

You agree not to:

  • Use the Service to harass, stalk, defraud, or unlawfully surveil any individual;
  • Upload, import, or request the collection of data in violation of applicable law (including data protection, anti-spam, and telemarketing laws in your jurisdiction and the jurisdiction of the data subject);
  • Use contact data obtained through the Service for purposes other than legitimate B2B sales and marketing activity consistent with applicable law;
  • Attempt to scrape, reverse-engineer, resell, or bulk-export the Service's underlying datasets outside your permitted usage rights;
  • Circumvent usage limits, rate limits, or credit metering;
  • Use the Service to build a competing product;
  • Interfere with the security or normal operation of the Service.

We reserve the right to suspend accounts engaged in activity that we reasonably believe violates this section, with notice where practicable.

5. Data Sources and Accuracy

Leadalise sources company and contact information from licensed third-party data providers and publicly available signals (e.g., job postings, company news, public filings, and similar sources). We do not knowingly source data through unauthorized scraping of professional networking platforms or other services whose terms prohibit such collection.

Buying-intent scores, "why now" summaries, and AI-generated report content are probabilistic assessments based on available signals. They are provided for informational purposes only and do not guarantee any business outcome. You are responsible for independently verifying material facts before relying on them for business decisions and for how you use the report content the Service generates.

6. Your Responsibilities as a Data Controller

Where the Service processes personal data of business contacts (e.g., names, job titles, business email addresses) on your behalf, you are typically the data controller and Leadalise is a data processor, as described in our Privacy Policy and, where applicable, a Data Processing Agreement ("DPA") available on request. You are responsible for:

  • Having a lawful basis for using contact data to contact recipients in the jurisdictions in which you operate and in which your recipients are located;
  • Complying with applicable direct-marketing and anti-spam laws (e.g., GDPR, PECR/UK GDPR, CAN-SPAM, CASL) for messages you send using content generated by the Service;
  • Honoring opt-out, unsubscribe, and data-subject rights requests from individuals you contact.

7. Intellectual Property

  • We retain all rights in the Service, including software, scoring methodology, prompts, and underlying models. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription term.
  • You retain ownership of data you upload (e.g., your ICP criteria, CRM data you import, and your own content).
  • Aggregated or de-identified data derived from Service usage may be used by us to improve the Service, provided it does not identify you or an individual data subject.

8. Confidentiality

Each party will protect the other's confidential information with reasonable care and use it only to perform under these Terms, except as required by law.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT BUYING-INTENT SCORES OR AI-GENERATED CONTENT ARE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR DECISION.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEADALISE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUE, ARISING FROM USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold Leadalise harmless from claims arising out of your misuse of the Service, your violation of applicable law (including data protection or anti-spam law) in connection with messages you send, or your violation of these Terms.

12. Termination

Either party may terminate for convenience by cancelling the subscription (you) or with notice (us). We may suspend or terminate immediately for material breach, non-payment, or unlawful use. Upon termination, your right to access the Service ends; certain provisions (IP, confidentiality, disclaimers, liability, indemnification) survive.

13. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Kazakhstan, without regard to conflict-of-laws principles. Disputes will be resolved in the courts of Almaty, Republic of Kazakhstan, except where mandatory consumer-protection law provides otherwise for Paddle's buyer relationship.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via email or in-app notice at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.
